Welcome to Elite Prep (operated via elitemathprep.org, hereinafter referred to as "Elite Prep," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of our website, software, AI-generated study materials, custom practice exams, and related educational services (collectively, the "Service").

By creating an account, starting a free trial, purchasing a subscription, or accessing the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, do not use the Service.

1. Acceptance & Eligibility

  • Binding Agreement: These Terms constitute a legally binding agreement between you and Elite Prep.
  • Age Requirement: You must be at least 13 years of age (or the legal minimum age in your jurisdiction) to use the Service. If you are under 18, you represent that you have received permission from a parent or legal guardian to access and use the Service.
  • Account Authority: If you create an account on behalf of a school, organization, or entity, you represent and warrant that you have the legal authority to bind that entity to these Terms.

2. Description of Service & Account Security

  • Educational Tool: Elite Prep provides AI-powered practice questions, step-by-step mathematical breakdowns, simulated exam builders, and diagnostic tools designed to assist users in studying for standardized assessments such as the ASVAB.
  • Non-Affiliation Disclaimer: Elite Prep is an independent educational platform. Elite Prep is not affiliated with, endorsed by, authorized by, or in any way officially connected to the United States Department of Defense (DoD), the Armed Forces, or any government agency administering the ASVAB exam.
  • Account Registration: You agree to provide accurate, current, and complete information during registration. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

3. Subscriptions, Free Trials, & Billing

  • 3-Day Free Trial: Elite Prep may offer a 3-day free trial ($0 today) to new users. A valid payment method (credit/debit card) is required to activate the trial. You will not be charged during the 3-day trial period.
  • Automatic Renewal: Unless you cancel before the end of your 3-day free trial, your subscription will automatically convert into a paid recurring subscription billed at $25.00 USD per month.
  • Billing Cycle: Subscription fees are billed in advance on a recurring monthly basis via our payment processor (Stripe). You authorize Elite Prep to charge your payment method on file for each billing cycle until cancellation.
  • Cancellation Policy: You may cancel your subscription at any time by navigating to your Account Settings or contacting support at david@elitemathprep.org. To avoid being charged for the subsequent billing period, you must cancel before your next renewal date.
  • Refund Policy: All subscription fees are non-refundable except where explicitly required by applicable law or determined at our sole discretion.

4. Intellectual Property Rights & Ownership

  • Elite Prep Content: All software, source code, visual interfaces, graphics, design, text, AI-generated practice questions, mathematical explanations, brand names, and trademarks (including "Elite Prep" and the Elite Prep logo) are the exclusive property of Elite Prep and its licensors.
  • Limited License: Subject to your compliance with these Terms and payment of applicable fees, Elite Prep grants you a personal, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial educational use.
  • Prohibited Actions: You may not copy, modify, distribute, sell, lease, scrape, frame, reverse engineer, or extract source code from any portion of the Service or its underlying AI engines without explicit written consent from Elite Prep.

5. User Content, Submissions, & AI Output Ownership

  • User Inputs: You retain ownership of any notes, text, or feedback you submit directly to the Service ("User Content"). By submitting User Content or feedback, you grant Elite Prep a worldwide, royalty-free, perpetual, non-exclusive license to use, reproduce, modify, and display such content to operate, maintain, and improve the Service.
  • AI Output Rights: To the maximum extent permitted by applicable law, all AI-generated test questions, explanations, diagnostic reports, and practice materials generated by the Service belong exclusively to Elite Prep. You are granted a license to study from and review this content solely for personal use.

6. Digital Millennium Copyright Act (DMCA) Safe Harbor & Takedown Policy

Elite Prep respects the intellectual property rights of others and expects users to do the same. In accordance with the Digital Millennium Copyright Act of 1998 (17 U.S.C. § 512) ("DMCA"), we will respond expeditiously to claims of copyright infringement committed using the Service.

Filing a DMCA Notice

If you believe that your copyrighted work has been copied or used on the Service in a way that constitutes copyright infringement, please submit a written DMCA Notice to our Designated Copyright Agent containing the following information:

  1. A physical or electronic signature of a person authorized to act on behalf of the owner of the copyright interest.
  2. Identification of the copyrighted work claimed to have been infringed.
  3. Identification of the material that is claimed to be infringing and information reasonably sufficient to permit us to locate the material (e.g., specific URL or page link).
  4. Your contact information, including your full legal name, address, telephone number, and email address.
  5. A statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law.
  6. A statement made under penalty of perjury that the information in your notice is accurate and that you are the copyright owner or authorized to act on behalf of the copyright owner.

7. AI Output Disclaimer & No Educational Guarantee

  • Informational & Practice Use Only: The materials provided on Elite Prep are generated using artificial intelligence and automated algorithms intended for study practice. While we strive for accuracy, Elite Prep does not guarantee that AI-generated questions, step-by-step explanations, or practice scores are error-free or perfectly reflective of official exam scoring standards.
  • No Score or Enlistment Guarantee: Elite Prep makes no guarantees, warranties, or representations that using the Service will result in passing any exam, achieving a specific score (e.g., AFQT score or military line scores), or securing enlistment into any branch of the United States Armed Forces.

8. Prohibited Conduct & Acceptable Use

You agree that you will not engage in any of the following prohibited activities:

  • Account Sharing: Sharing your subscription or login credentials with third parties or allowing multiple users to access a single paid account.
  • Automated Scraping: Using bots, crawlers, scrapers, data mining tools, or automated scripts to harvest questions, content, or user data from the Service.
  • Service Disruption: Interfering with, compromising, or overloading the security or performance of our servers, database, or API endpoints.
  • Commercial Resale: Selling, reselling, or commercializing access to Elite Prep study materials, practice tests, or diagnostic features.
  • Illegal Activity: Utilizing the Service to violate any applicable local, state, national, or international law.

9. Limitation of Liability & Disclaimers

  • "AS IS" Basis: The Service is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.
  • Liability Cap: To the maximum extent permitted by law, in no event shall Elite Prep, its founder, officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, arising out of or related to your use of or inability to use the Service.
  • Maximum Monetary Liability: Elite Prep's total cumulative liability for any claims arising under these Terms shall not exceed the total amount paid by you to Elite Prep in the three (3) months preceding the event giving rise to the liability, or $100.00 USD, whichever is greater.

10. Indemnification

You agree to defend, indemnify, and hold harmless Elite Prep, its founder, operators, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or debt (including legal fees) arising from:

  1. Your use of and access to the Service.
  2. Your violation of any provision of these Terms.
  3. Your violation of any third-party right, including any copyright, trademark, privacy, or property right.

11. Termination & Suspension

Elite Prep reserves the right, in its sole discretion, to suspend, disable, or terminate your account or access to the Service at any time, with or without prior notice, if we determine that you have violated these Terms or engaged in unauthorized or fraudulent activity. Upon termination, your right to use the Service immediately ceases.

12. Governing Law & Dispute Resolution

  • Governing Law: These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, without regard to its conflict of law principles.
  • Arbitration & Class Action Waiver: You agree that any legal dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved through binding individual arbitration rather than in court, and you waive any right to participate in a class-action lawsuit or class-wide arbitration.

13. Changes to Terms

Elite Prep reserves the right to modify or update these Terms at any time. We will notify users of material changes by updating the "Last Updated" date at the top of these Terms or sending an email notification to registered account holders. Continued use of the Service following any modifications constitutes acceptance of the revised Terms.
